Governing Law: Forum.
This Agreement shall be governed by the laws of the State of Illinois applicable to agreements made and to be wholly performed therein. The parties hereto hereby submit to the jurisdiction of the Illinois courts and waive any right to challenge such jurisdiction and venue on any grounds. In the event of judicial or adversarial proceedings between the parties, the prevailing party shall be entitled to recover reasonable attorney\'s fees and other costs in addition to any other relief to which it may be entitled.

Liquidated Damages.
In the event Visitor breaches this Agreement by violating a copyright, trademark, or other intellectual property of RedJackalAds.com or creating or publishing an advertisement which is substantially or confusingly similar to the Content contained on this web site, the Visitor agrees to pay RedJackalAds.com as a fixed and agreed-to sum of liquidated damages $20,000 per year for every year of violation. In addition, in the event of Visitor\'s breach or its creation or publication of a substantially or confusingly similar work, Visitor agrees to pay RedJackalAds.com\'s attorney\'s fees, costs and expenses in seeking redress for such actions.

Other
If any provision of this Agreement is found to be void, unlawful or unenforceable for any reason, that portion shall be deemed severable from these terms and shall not otherwise affect the validity and enforceability of any remaining provisions.
